TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the Janxy Dispatch website and related inquiry, communication, and informational services.
Please read these Terms carefully.
By accessing or using the website, submitting an inquiry, or otherwise using website-based services provided by Janxy Dispatch (“Janxy Dispatch,” “Janxy,” “we,” “us,” or “our”), you agree to these Terms to the extent permitted by applicable law.
If you do not agree, do not use the website or submit an inquiry.
1. Eligibility
You must be at least 18 years old to submit a carrier inquiry or engage Janxy Dispatch for services.
By submitting an inquiry, you represent that you are at least 18 years old and that information you provide is truthful and submitted either on your own behalf or with appropriate authority on behalf of the relevant motor carrier or business.
2. Nature of Janxy Dispatch
Janxy Dispatch provides remote dispatch-related services primarily to United States motor carriers.
Janxy Dispatch is not a motor carrier and does not transport freight.
Janxy Dispatch does not take possession, custody, or control of cargo.
Janxy Dispatch's intended role when engaged by a motor carrier is to provide dispatch-related assistance on behalf of and subject to the direction and authorization of that motor carrier, pursuant to the applicable Carrier–Dispatcher Agreement.
Janxy Dispatch does not represent through these Terms that it holds freight-broker authority, motor-carrier authority, or other governmental authority that it does not in fact hold.
Nothing in these Terms authorizes Janxy Dispatch or a customer to conduct activities requiring a governmental license, registration, authority, bond, insurance, or other authorization unless all legally required conditions have been satisfied.
3. Website Inquiries Do Not Create a Dispatch Relationship
Submitting an inquiry, requesting contact, scheduling a preferred meeting time, receiving a response, or communicating with Janxy Dispatch does not by itself create a carrier-dispatcher relationship.
A carrier becomes a dispatch client only after the parties complete whatever onboarding, verification, authorization, and agreement process Janxy Dispatch requires.
Janxy Dispatch may accept or decline an inquiry at its discretion, subject to applicable law.
4. Carrier–Dispatcher Agreement
Actual dispatch services are governed by a separate Carrier–Dispatcher Agreement or other written service agreement between Janxy Dispatch and the motor carrier.
That agreement may contain additional or different provisions concerning:
- Scope of authority;
- Dispatch responsibilities;
- Carrier instructions and preferences;
- Fees;
- Invoicing and payment;
- Load negotiation;
- Documentation;
- Carrier representations;
- Termination;
- Liability;
- Indemnification;
- Dispute resolution;
- Governing law; and
- Other operational matters.
If there is a direct conflict between these general website Terms and an executed Carrier–Dispatcher Agreement concerning the provision of dispatch services, the Carrier–Dispatcher Agreement will control with respect to that dispatch relationship to the extent of the conflict.
5. Carrier Control and Decision-Making
The motor carrier remains an independent business and retains ultimate control over its operations.
Unless a separate written agreement expressly provides otherwise, the carrier retains the right to accept or reject loads and to establish or communicate its operating preferences, including preferred areas, rates, schedules, equipment usage, and other operational requirements.
Janxy Dispatch does not own or operate the carrier's vehicles and does not employ or control the carrier's drivers.
The carrier remains responsible for its drivers, vehicles, equipment, cargo obligations, safety practices, routing decisions, hours of service, legal compliance, and operation of its business.
6. No Guaranteed Loads, Rates, Revenue, or Results
Transportation markets fluctuate.
Janxy Dispatch does not guarantee:
- A particular number of loads;
- Continuous load availability;
- A particular rate per mile;
- A particular gross revenue;
- A particular weekly or monthly income;
- Specific lanes or destinations;
- Specific broker approval;
- Specific detention, layover, TONU, accessorial, or other compensation;
- Particular profitability; or
- Any particular business outcome.
Any examples, estimates, market observations, potential loads, rate discussions, or projections are informational and are not guarantees of future performance.
Load availability and rates may depend on market conditions, equipment, geography, seasonality, carrier authority, safety history, broker requirements, credit considerations, timing, and numerous factors outside Janxy Dispatch's control.
7. Standard Dispatch Fee
Unless the parties agree otherwise in writing, Janxy Dispatch's standard dispatch-service fee is 8% of the applicable load amount used as the agreed fee basis under the Carrier–Dispatcher Agreement.
The parties may mutually negotiate and agree to a different fee.
The exact fee basis, invoicing procedure, payment deadline, and other payment terms applicable to an active carrier should be stated in the Carrier–Dispatcher Agreement or related written documentation.
Website descriptions of pricing are general information and do not override a different written agreement between Janxy Dispatch and a carrier.
8. Seven-Day Free Trial
Where offered and confirmed by Janxy Dispatch, an eligible carrier may receive an introductory seven-day free trial of dispatch services.
Unless expressly agreed otherwise:
- No dispatch-service percentage fee is charged for qualifying services performed during the agreed free-trial period;
- No credit-card information is required merely to begin the trial;
- The trial does not guarantee that loads will be available or booked;
- The carrier remains responsible for all of its own operating expenses, obligations, broker or shipper requirements, insurance, compliance, and other third-party costs; and
- Continuation after the free trial is subject to the parties' applicable service agreement.
Janxy Dispatch may establish reasonable eligibility requirements and may refuse repeated, fraudulent, abusive, or duplicative attempts to obtain introductory trials.
9. Invoicing and Payment
Janxy Dispatch may invoice carriers for earned dispatch fees according to the applicable Carrier–Dispatcher Agreement.
Unless expressly agreed otherwise, Janxy Dispatch does not require the carrier to provide credit-card credentials through the general website inquiry form.
The carrier is responsible for paying properly earned and invoiced amounts according to the agreed payment terms.
A termination or notice of termination does not extinguish amounts validly earned or owed before the effective termination date.
10. Termination
Unless a Carrier–Dispatcher Agreement provides otherwise, either party may terminate an ongoing dispatch relationship by providing at least seven (7) days' notice.
Janxy Dispatch may suspend services or terminate a relationship immediately where reasonably necessary due to circumstances including:
- Fraud or suspected fraud;
- Material misrepresentation;
- Illegal activity;
- Material breach of an agreement;
- Non-payment;
- Abuse, threats, harassment, or dangerous conduct;
- Misuse of Janxy Dispatch's services;
- Invalid, suspended, revoked, or materially deficient operating authority;
- Material insurance or compliance problems;
- Requests that Janxy Dispatch participate in unlawful or deceptive conduct;
- Material safety concerns; or
- Circumstances in which continued service could reasonably expose Janxy Dispatch or another person to legal, financial, security, or safety risk.
Termination does not eliminate rights or obligations that accrued before termination.
11. Carrier Responsibilities
Each carrier is solely responsible for maintaining all authority, registrations, insurance, qualifications, safety standards, permits, filings, and other requirements applicable to its operations.
The carrier is responsible for ensuring the accuracy and validity of information and documentation supplied to Janxy Dispatch or third parties.
The carrier must promptly inform Janxy Dispatch of material changes affecting its ability to lawfully or safely transport freight, including changes to operating authority, insurance, equipment availability, safety status, or other material operating conditions.
Janxy Dispatch may rely on information supplied by the carrier unless Janxy Dispatch has reason to believe it is inaccurate.
12. Brokers, Shippers, Load Boards, and Other Third Parties
Dispatch activities may involve independent third parties, including freight brokers, shippers, receivers, factoring companies, load boards, technology providers, and other transportation-industry participants.
Those parties are independent of Janxy Dispatch unless expressly stated otherwise.
Janxy Dispatch does not control and cannot guarantee a third party's:
- Conduct;
- Solvency or creditworthiness;
- Payment;
- Cargo;
- Facility;
- Appointment availability;
- Loading or unloading times;
- Detention practices;
- Documentation;
- Technology;
- Rates;
- Service quality; or
- Compliance with its obligations.
The carrier remains responsible for reviewing and accepting transportation arrangements and documentation applicable to its operations.
13. No Handling of Freight Payment Unless Separately Authorized and Lawful
Unless a separate written arrangement expressly and lawfully provides otherwise, freight transportation payments owed by brokers, shippers, factoring companies, or other parties to the motor carrier remain payments belonging to or payable to the carrier or its authorized payee.
Janxy Dispatch's compensation consists of dispatch-service fees owed by the carrier under the applicable service agreement.
Nothing in these Terms authorizes Janxy Dispatch to misrepresent itself as the motor carrier, shipper, broker, or other regulated party.
14. Accuracy of Website Information
We attempt to maintain useful and reasonably accurate information on the website, but information may occasionally contain errors, omissions, outdated material, or technical issues.
Janxy Dispatch may update, correct, modify, or remove website content without prior notice.
Nothing on the website constitutes legal, tax, accounting, insurance, regulatory, investment, or other professional advice.
15. User Representations
By submitting information through the website, you represent that:
- The information is materially accurate to the best of your knowledge;
- You have authority to provide it;
- You will not impersonate another person or business;
- You will not knowingly provide fraudulent documents or credentials;
- You will not use Janxy Dispatch for unlawful purposes; and
- You will not attempt to compromise or misuse the website or its systems.
16. Prohibited Uses
You may not use the website or services to:
- Violate applicable law;
- Commit or facilitate fraud;
- Misrepresent identity, authority, insurance, equipment, or business status;
- Transmit malware or malicious code;
- Attempt unauthorized access to systems, accounts, databases, or information;
- Scrape, probe, attack, overwhelm, or interfere with website infrastructure;
- Circumvent security, rate limits, or access controls;
- Submit deliberately false or abusive inquiries;
- Infringe intellectual-property or privacy rights; or
- Encourage Janxy Dispatch to participate in unlawful transportation or brokerage activity.
17. Intellectual Property
Unless otherwise indicated, the Janxy Dispatch website, branding, logos, original written content, design elements, and other proprietary materials are owned by or licensed to Janxy Dispatch and are protected to the extent provided by applicable intellectual-property law.
You may use the website for legitimate evaluation or use of Janxy Dispatch's services.
You may not reproduce, commercially exploit, impersonate, misleadingly imitate, or distribute protected Janxy Dispatch materials without authorization except where permitted by applicable law.
18. Privacy
Use of the website is also subject to the Janxy Dispatch Privacy Policy, which describes how information is collected, used, stored, and disclosed.
19. Website Availability
We do not guarantee uninterrupted or error-free access to the website.
The website or particular features may become unavailable because of maintenance, updates, outages, third-party failures, cyber incidents, internet conditions, force majeure events, or other circumstances.
We may modify, suspend, restrict, or discontinue website functionality where reasonably necessary.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
JANXY DISPATCH DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
JANXY DISPATCH DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR SUITABLE FOR EVERY USER OR BUSINESS PURPOSE.
Nothing in this section excludes a warranty or right that applicable law does not permit the parties to exclude.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JANXY DISPATCH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE WEBSITE, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOST DATA, WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.
Liability relating to paid dispatch services may be addressed separately in the applicable Carrier–Dispatcher Agreement.
Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
22. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, damages, or reasonable costs arising from your unlawful use of the website, fraudulent or materially false information you provide, infringement of another person's rights, or material violation of these Terms.
Any additional indemnification obligations relating to dispatch services may be established in the Carrier–Dispatcher Agreement.
23. Regulatory Compliance
Each party remains responsible for complying with laws and regulations applicable to its own activities.
Janxy Dispatch intends to provide dispatch-related services within the scope permitted by applicable law and the authority granted by its carrier clients.
The description of Janxy Dispatch as a dispatch service does not override applicable transportation law or regulatory requirements. If any activity would legally require additional authority, licensing, registration, financial responsibility, or other regulatory compliance, the parties must comply with those requirements before engaging in that activity.
24. Governing Terms for Dispatch Services
Because website visitors may access the website before entering a commercial relationship with Janxy Dispatch, these Terms govern general website use without attempting to establish a fictional corporate domicile or jurisdiction.
Where a motor carrier formally engages Janxy Dispatch, governing law, venue, dispute-resolution procedures, and related contractual matters may be specified in the applicable Carrier–Dispatcher Agreement.
Nothing in these Terms prevents mandatory law from applying where it applies regardless of contractual choice.
25. Changes to These Terms
Janxy Dispatch may modify these Terms from time to time.
Updated Terms will be posted on the website with an updated effective or “Last Updated” date.
Changes will apply prospectively to website use after they become effective, except where applicable law or an existing written agreement requires otherwise.
Material changes to an existing dispatch relationship may require agreement under the applicable Carrier–Dispatcher Agreement rather than merely publication of revised website Terms.
26. Severability
If a provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the extent permitted by applicable law.
An invalid provision should, where legally permissible, be interpreted or limited to the minimum extent necessary to make it enforceable while preserving its intended purpose.
27. No Waiver
Failure by Janxy Dispatch to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision or any other right.
28. Entire Agreement Regarding Website Use
These Terms, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the general agreement governing use of the Janxy Dispatch website.
A separately executed Carrier–Dispatcher Agreement governs the actual commercial dispatch relationship and may supplement or supersede portions of these Terms as expressly provided therein.
